The Website Operator, as defined below, allows access to the Website and to the information offered on it, subject to the Terms and Conditions described in these Regulations hereinafter.
Please review the Terms of Use, since use of the Website, and your activities on it, constitute your consent to the Terms of Use, without any limitations or reservations.
Some portions of the Website and these Regulations, are formulated employing the masculine linguistic form, strictly for the sake of convenience; however, everything stated on the Website and herein is designed for persons of all genders.
Definitions:
The “Website”: The Internet Website wholly owned by the Website Operator, at the following URL: kenlovren.com.
The “Website Operator” and/or the “Operator”: Kenlov Renewable Energy Ltd., Comp. Reg. No. 515880698, which is headquartered at 40 Tuval Street, Ramat Gan.
A “User”: Any individual and/or corporation and/or other entity surfing and/or viewing the Website and/or otherwise using the Website and/or the information contained therein, and all in accordance with the Terms and Conditions set forth in these Regulations, as well as on the Website itself.
“Use of the Website”: Surfing and/or viewing the Website and/or otherwise using the Website and/or the information contained therein, and all in accordance with the Terms and Conditions set forth in these Regulations, as well as on the Website itself.
General:
The General Terms of Use applicable to the Website, together with the Privacy Policy, and the “Cookies” (hereinafter: the “Terms of Use”), constitute the basis for any and every Use of the Website, in any configuration thereof, including by agency of any computer or other device (including any mobile phone, tablet, PDA, etc.), and it exclusively regulates the legal relationships between the Company and each User, direct and indirect.
Every Website User, by the very fact of actually using it, declares and acknowledges, that s/he has read the Terms of Use, and that s/he agrees to them, and that s/he is allowed, whether by law or by virtue of any authorisation or approval required by law, to use the Website.
The User undertakes to act honestly and in good faith in respect of Use of the Website and/or in connection with anything associated with and/or arising from the statements on the Website; the User agrees not to use the Website other than as described in these Regulations and/or in accordance with them.
The Website contains, inter alia, information about the Operator and the Operator’s Projects, and displays images, forecasts, estimates, diagrams, maps, information about projects, digital rendering and imagery, commercials, and other various content. The Website is offered to the public “As Is”. Notwithstanding the fact that the Operator acts to ensure that the content presented on the Website is complete and accurate, it is possible that it may contain inaccuracies and/or errors committed in good faith. The Operator does not warrant, and will not be liable in any way shape or form, in respect of any matter resulting therefrom, or connected therewith.
Photographs, blueprints, forecasts, estimates, diagrams, maps, details about various Projects, and various digital rendering and imagery displayed on the Website are for illustrative purposes only, and it is possible that there may be differences between them as displayed on the Website, some or all, and same as they are at the Operator’s in practice. Furthermore, the information presented on the Website may constitute ‘Forward Looking Information,’ the measure of materialisation of which is uncertain, and is not necessarily controlled by the Operator alone. Therefore, the Operator does not guarantee that these will actually exist in reality as they are presented. In the event that any discrepancy and/or conflict between the information and representations on the Website, and the information existing in the Operator’s official documents, exists, the information in the Operator’s offices in its official documents, will prevail.
It is hereby clarified, that the information presented on the Website is for informative purposes only, and does not constitute any recommendation and/or opinion in respect of any purchase / sale of the Operator’s securities, or any other product of the Operator’s, or for providing any service whatsoever; therefore, the User acknowledges and agrees, that any reliance on the data, statements, opinions, tips, or any other information presented on the Website, is done at the discretion of the User, and at his exclusive risk.
The Website Operator reserves the right to update and/or revise these Regulations, the Terms of Use, the terms and conditions listed on the Website, its content, and it services from time to time, in the Website Operator’s exclusive discretion, and without having to give notice; such terms and conditions shall be binding once they have been published on the Website, unless expressly stated otherwise. The User shall have no claim and/or demand and/or legal action against the Company on account of effecting such changes and/or any malfunctions related to the implementation thereof.
The Operator is entitled to terminate the Website’s activities at any time (fully or partially), in the Website Operator’s exclusive discretion, without being obligated to providing prior notice regarding the termination of activities as aforementioned.
The Operator will be entitled to block any User, or prevent any User from accessing the Website, temporarily or permanently, if in the Operator’s exclusive discretion, the User acted, or tried to use the Website, or anything connected therewith, in a manner which is contrary to any applicable law and/or the provisions of the Terms of Use and/or in a manner which may harm the Operator and/or the Website in any way.
The Operator’s records, including its electronic records, concerning actions taken on the Website, including any information entered by the User, will constitute conclusive evidence of the correctness of the actions.
The User hereby declares and agrees, that he shall have no claim and/or legal action and/or demand of any and every kind, vis-à-vis the Website Operator and/or any of its owners and/or managers and/or employees and/or any of its agents and/or their representatives, in connection with the termination of activities on the Website in accordance with these Regulations.
Intellectual Property:
All intellectual property rights related to the Website and its content, of any and every kind (whether registered rights, or rights that have not yet been registered), including trademarks, patents, copyright, design methods, and trade secrets, their manner of presentation, and the Website’s design, its databases (including descriptions of the Projects, the designs, illustrations, photographs, images, digital rendering and imagery, maps, audio clips, video clips, text, graphics, etc.), the Website’s computer code, domain, and any other detail related to the Website and its operation, are the Operator’s absolute and exclusive property, and any use of all the aforementioned rights is exclusively permitted to the Operator alone. If any intellectual property rights relating to Projects are published the Website on behalf of advertisers and/or third parties who permitted the Operator to publish such information and/or aforementioned rights, same shall constitute information and rights which are the exclusive property of the advertiser and/or relevant third parties (as applicable), and no use my be made of them without the Operator’s prior written consent (hereinafter: the “Information”).
No one may not copy, reproduce, publish, distribute, broadcast, display, perform, license, create derivative works, sell, market, or translate any part of the Information contained on the Website (including trademarks, photographs, texts, images, forecasts, blueprints, and computer code).
No commercial or other use may be made with the Information and/or data published on the Website, the Website’s database, Information concerning the Projects, pictures, digital rendering and imagery, forecasts, blueprints, or other details published on the Website, without the Operator’s prior written consent, and no action which may impair any of the Operator’s property rights, in any way, is permissible.
The forgoing notwithstanding, no Information and/or data whatsoever published on the Website for the purposes of presenting them on the Website and/or any other service, may be used, without obtaining the Operator’s prior written consent, and subject to such terms and conditions as shall be prescribed in the setting of said consent (if granted). Moreover, data from the Website may not be collected with the aid of software such as Crawler Robots, etc. and such data may not be disseminated commercially and/or in any commercial setting to the public at large. The Website may not be displayed in any Frame, visible or invisible, and links may not be created to its pages (“Deep Linking”), other than exclusively to the home page.
The Website may not be displayed in any design or graphic interface different from those designed for it by the Operator, other than in accordance with the Operator’s express prior written consent.
Links to Internet Websites and Additional Services
The Website may contain links and/or redirects to websites that are not necessarily operated by the Operator. Such links are provided solely for User convenience and information, and the Operator does not exercise control over said websites. The Operator will not be liable for the linked websites, and the aforementioned links to any website should not be construed as any endorsement of said website. The inclusion of links to other websites does not attest to any support related to the contents of such websites, or to any other connection to such websites or their operators. The Operator does not guarantee the good working order of said links, or that such links shall redirect to the websites to which each such link purports to redirect. The Operator may, in its exclusive discretion, remove any link from the Website and/or add additional links.
The User’s Undertaking
The very fact of using the Website, and the User’s activity thereon, attest to the User’s consent to all the provisions contained in these Terms of Use, his undertaking to act, or refrain from acting, as applicable, as follows:
The User agrees to all the provisions of the Terms of Use;
The User undertakes not to upload and/or broadcast and/or retrieve and/or distribute and/or publish information or any other materials containing a virus, or other software, that might sabotage the Operator’s computer systems and/or may damage and/or restrict and/or prevent another from using the Website;
The User undertakes not to upload, retrieve, broadcast, distribute, or publish information or any other materials, which are prohibited for publication or use due to their being deemed threatening, harmful, insulting, libellous, defamatory, racist, pornographic, or another expression of vulgarity;
The User undertakes not to upload, retrieve, broadcast, distribute, or publish information or any other materials that might encourage, solicit, incentivise, or aid and abet another in the commission of any act prohibited by legislation, or which may give rise to legal liability;
The User undertakes not to upload, retrieve, broadcast, distribute, or publish information or any other materials that may violate another’s intellectual property rights, including intellectual property rights, privacy protection rights and/or any other proprietary right;
The User undertakes not to make any commercial use of the Information;
The User acknowledges the Internet’s limitations regarding online information security, and releases the Operator from any liability in this regard; this includes, that the Operator shall not be liable for any exposure of details provided to it by the User, in the event of any unlawful access to the Website’s computer systems.
The User undertakes not to use the Website in a manner that does not comply with any applicable law and/or which has not be agreed to, or which constitutes a forgery, alteration, or deletion of information;
The User undertakes to indemnify and compensate the Operator for any direct or indirect damages and/or expense incurred by the Operator in connection with any legal action and/or demand and/or damages arising from the Terms of Use and/or Use of the Website.
The User agrees, that without prejudice to any other right available to the Operator, in the event that the Operator fears that Use of the Website by the User is inconsistent with the Terms of Use and/or any other applicable law, it shall be entitled to monitor said Use of the Website by the User, in accordance with any applicable law, and it further reserves the exclusive right to immediately terminate the User’s Use of the Website, notwithstanding any other right available to the Operator at law.
In any event, the Operator reserves the right to refuse to grant access to this Website, or any part thereof, to any User, in accordance with its exclusive discretion, and without prior notice.
Lack of Liability
Use of the Website is fully and absolutely at the User’s exclusive risk.
The User declares and acknowledges, that the Operator and/or anyone acting on its behalf, are not responsible and/or liable, and will not be responsible and/or liable, and will not bear or be caused to suffer any damages, direct, indirect, consequential, or special, and/or any loss and/or out of pocket (above and hereinafter: “Any Damages”), caused to the User and/or any third party, as a result of Use of the Website, including otherwise than in accordance with the Terms of Use – be the reason therefore whatever it may be. The generality of the forgoing notwithstanding, the Operator is not responsible and/or liable for Any Damages caused to the User and/or any third party as a result of any act and/or omission and/or negligence on behalf of the User and/or any third party, and will further not be liable for Any Damages caused, for any reason, in connection with Use of the Website and/or viewing it.
The forgoing notwithstanding, the Operator shall not be responsible and/or liable for Any Damages, direct, indirect, consequential, or incidental, due to accessing the Website and any use thereof, or due to any impediment preventing access to, or use of, the Website, in respect of any cause whatsoever (including any cause in contract and/or tort). The Operator bears no responsibility and/or liability for any disruption, error, or omission in the contents of the Website. Use of the Website is at the User’s exclusive risk, and it is clarified, that the Operator is not responsible for any information or message uploaded by independent Users, if any such is uploaded to the Website.
The Operator is not responsible and/or liable for Any Damages, including on account of “viruses” and/or malfunctions and/or various software applications, caused to the User’s computer equipment, or to any other User property, due to access to, surfing, and Use of the Website, including downloading Information from the Website.
The Operator does not undertake that the Website will be accessible at all times, and that the activity and/or integrity of the Website will not be disrupted and/or be conducted without interruptions and/or error and/or failure-free. The Operator will not be responsible and/or liable for such interruptions, and it will not be responsible and/or liable for any incompatibilities in the quality, character, scope of information (including the manner of its transmission) and/or Any Damages caused to the User and/or any third party in connection with such interferences and/or in connection with the termination of certain Website services, for any reason. Moreover, the Operator will not be responsible and/or liable, in any way, for Internet malfunctions and/or disruptions and/or malfunctions and/or disruptions in relation to Bezeq’s communication lines and/or any other communication lines.
The Operator will not be responsible and/or liable for the content published on the links on the Website which redirect to other websites. The Operator does not undertake that any such links will redirect to an active website, and is not responsible and/or liable for the websites to which these links lead, nor to the information to be found on them. Reliance on such information is therefore at the User’s exclusive and absolute risk.
The User acknowledges the Internet’s limitations regarding information security, and releases the Operator of any liability in this regard. This includes, that the Operator will not bear any responsibility and/or liability for any exposure of details provided by any User, in the event of unlawful access to the Website’s computer systems.
The Operator is not responsible and/or liable for any illegal activity conducted, if any, by any User of the Website, and/or by any party over which it has no control.
Miscellaneous
Chapter headings have been inserted for convenience and User orientation only, and will not be used in the interpretation of these Terms of Use.
The Operator is entitled to assign its rights under these Terms of Use to any third party, as it deems fit, without any duty on the Operator’s part to publish said assignment on the Website.
The content uploaded and published on the Website, may be displayed on other media, including on cellular websites and/or television and/or any other media.
The Website’s Terms of Use as aforementioned, and any legal cause resulting from Use of and/or activities on, the Website, including the validity and interpretation of the Terms of Use, will be subjected exclusively to the law of the State of Israel, and exclusive local jurisdiction with respect to any dispute arising in relation to the Website and its Use, shall vest in the competent courts of Tel Aviv.
Should it be held that some part of the Terms of Use is invalid or unenforceable, the clauses declared invalid, or with respect to which it has been decided that they are unenforceable, will be construed as replaced by applicable and enforceable clauses, the content of which corresponds, to the greatest degree of approximation, to the original clauses’ intention, and the provisions of the remaining Terms of Use will remain effective and binding.
